GOVERNANCE AND MANAGEMENT
Serves as the Assistant Secretary of the Foundation and UHF Support Inc.
Interprets and clarifies Board governance documents and corporate resolutions.
Participates fully and collaboratively as a member of the management team.
Act as in-house legal advisor to governing boards of the Foundation and subsidiary entities, as assigned.
Provides counsel and legal advice to management with respect to the legal implications of matters affecting the Foundation.
Provides legal advice and support on personnel matters to include employee grievances and claims, as assigned.
Review for administrative compliance gift agreements, wills and trusts for proposed or matured gifts.
Drafts contracts, agreements, and templates that will assist the Foundation in being compliant with its policies and procedures.
Counsel internal clients on a wide variety of legal, compliance, and risk-management matters.
Collaborates with other departments to find solutions to compliance issues. Consults with Outside Counsel as needed to resolve difficult legal compliance issues.
Conduct legal research on rules that apply to the Foundation’s programmatic work, operations and investments.
Assists in the review of contracts, agreements, and licenses for the Foundation.
Serve as a liaison to Foundation’s outside legal counsel.
Serve as primary person in relation to insurance and risk related issues.
Identifies potential areas of compliance vulnerability and risk; develops, recommends, and implements solutions to problematic issues.
POLICIES AND PROCEDURES
Develops and updates written policies and procedures to help make them user-friendly and ensure they are in compliance with relevant laws and best practices.
Monitors and keeps up to date on best practices in regards to policies and procedures of institutionally related foundations.
Disseminates policies and procedures and conducts effective compliance training and education to Foundation employees, university employees, and affiliated nonprofits.
